1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you and BeyondLoyalty, LLC ("BeyondLoyalty," "we," "us," or "our") governing your use of the BeyondLoyalty loyalty and rewards platform.
By installing, accessing, or using BeyondLoyalty, you agree to be bound by these Terms. If you do not agree, do not use our service.
2. DEFINITIONS
- "Service" or "Platform": The BeyondLoyalty loyalty program software and related services
- "Merchant" or "You": The Shopify store owner who installs and uses our app
- "Customer": End users who participate in your loyalty program
- "Shopify": The e-commerce platform on which our app operates
- "Points": The loyalty currency managed by our platform
- "Rewards": The benefits customers can redeem using points
3. ELIGIBILITY
3.1 MERCHANT REQUIREMENTS
To use BeyondLoyalty, you must:
- Be at least 18 years of age
- Have a valid Shopify store in good standing
- Have the legal authority to enter into this agreement
- Provide accurate and complete registration information
- Comply with all applicable laws and regulations
- Not be located in a country subject to US embargo or trade sanctions
3.2 PROHIBITED BUSINESSES
BeyondLoyalty may not be used for stores selling:
- Illegal goods or services
- Weapons, explosives, or ammunition
- Adult content or services
- Tobacco or vaping products (unless legally permitted)
- Counterfeit or stolen goods
- Services that violate Shopify's Acceptable Use Policy
We reserve the right to refuse service to any business at our discretion.
4. SERVICE DESCRIPTION
4.1 WHAT WE PROVIDE
BeyondLoyalty provides:
- Loyalty points management system
- Customizable earn and redeem rules
- VIP tier and membership levels
- Referral program functionality
- Birthday reward automation
- Shopify discount code integration
- Customer-facing widgets and interfaces
- Merchant admin dashboard
- Transaction history and analytics
- API access for integrations (selected plans)
4.2 SERVICE LEVELS
- Uptime SLA: 99.9% uptime (excludes scheduled maintenance)
- Scheduled Maintenance: Announced 48 hours in advance
- Support Response Times: Based on subscription plan
- Free Plan: Email support, 72-hour response
- Starter Plan: Priority email, 48-hour response
- Growth Plan: Priority email + chat, 24-hour response
- Scale Plan: Priority support + dedicated manager, 12-hour response
- Commerce Suite: SLA support, 4-hour response
5. ACCOUNT REGISTRATION
5.1 INSTALLATION
- Installation requires a Shopify account
- You must grant necessary permissions via OAuth
- We access only the data required for service functionality
- You can revoke access at any time (service will stop working)
5.2 ACCOUNT SECURITY
You are responsible for:
- Maintaining the confidentiality of your Shopify credentials
- All activity that occurs under your account
- Notifying us immediately of unauthorized access
- Not sharing your account with others
We are not liable for losses due to compromised credentials.
6. SUBSCRIPTION PLANS AND BILLING
6.1 AVAILABLE PLANS
- Free Plan: Up to 250 orders/month, basic features
- Starter Plan: $19/month (or $180/year) - Up to 500 orders/month
- Growth Plan: $69/month (or $660/year) - Up to 3,000 orders/month, VIP tiers
- Scale Plan: $199/month (or $1,908/year) - Unlimited orders, API access
- Commerce Suite: $449/month (or $4,308/year) - Full platform + mobile app
Prices are in USD and exclude applicable taxes.
6.2 BILLING AND PAYMENT
- Billing is processed through Shopify's billing system
- Charges appear on your Shopify invoice
- Payment is due at the start of each billing cycle
- We accept credit cards, debit cards, and PayPal (via Shopify)
- Annual plans are billed upfront and offer 20% savings
6.3 ORDER OVERAGES
If you exceed your plan's order limit:
- We will notify you by email
- You have 7 days to upgrade to a higher plan
- If not upgraded, service may be limited or suspended
- Historical data is retained during suspension
6.4 AUTOMATIC RENEWAL
- Subscriptions automatically renew unless cancelled
- You will be charged on your renewal date
- Cancel at least 24 hours before renewal to avoid charges
6.5 REFUNDS
- Free Trial: 30-day free trial on paid plans (no credit card required)
- Refunds: Prorated refunds available within first 14 days of paid plan
- Annual Plans: No refunds after 14-day period
- Downgrades: Take effect at next billing cycle (no prorated refunds)
- Service Disruption: Prorated credits for extended outages (>24 hours)
6.6 PRICE CHANGES
- We may change pricing with 30 days' notice
- Existing customers are grandfathered for 12 months
- Price changes do not affect annual subscriptions until renewal
7. CUSTOMER DATA AND PRIVACY
7.1 DATA OWNERSHIP
- You own your customer data
- We are a data processor; you are the data controller
- We process data only per your instructions and our Privacy Policy
7.2 DATA PROCESSING AGREEMENT
By using BeyondLoyalty, you agree to our Data Processing Agreement (DPA), which covers:
- GDPR compliance
- Data security measures
- Sub-processor disclosure
- Data breach notification
- Data deletion procedures

7.3 YOUR RESPONSIBILITIES
You must:
- Have lawful basis to collect and process customer data
- Provide clear privacy notice to your customers
- Obtain necessary consents (e.g., for birthday collection)
- Comply with applicable data protection laws
- Not use the service to send spam or unsolicited marketing
7.4 DATA DELETION
When you uninstall:
- Data is retained for 90 days (allows reinstallation)
- After 90 days, all personal data is permanently deleted
- You can request immediate deletion by emailing support@beyondloyalty.app
- Transaction logs retained for 7 years for accounting compliance
8. ACCEPTABLE USE POLICY
8.1 PROHIBITED ACTIVITIES
You may not:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Send spam, malware, or phishing attempts
- Attempt to hack, reverse engineer, or exploit the service
- Use the service to harass, abuse, or harm others
- Create fake accounts or manipulate loyalty points
- Resell or sublicense the service without authorization
- Use the service for fraudulent transactions
- Scrape or data mine our platform
- Interfere with the proper functioning of the service
8.2 FRAUD PREVENTION
We employ fraud detection to prevent:
- Points manipulation
- Referral fraud (self-referrals, bots)
- Discount code abuse
- Fake account creation
Accounts engaged in fraud may be suspended or terminated without refund.
8.3 COMPLIANCE
You must:
- Comply with Shopify's Terms of Service and Acceptable Use Policy
- Follow applicable consumer protection laws
- Honor loyalty points and rewards as promised to customers
- Not mislead customers about program terms
- Properly disclose sponsored content and partnerships
9. INTELLECTUAL PROPERTY
9.1 OUR PROPERTY
BeyondLoyalty and all related trademarks, logos, and service marks are our property. The service, including:
- Software code and architecture
- User interfaces and designs
- Documentation and content
- APIs and integrations
- Algorithms and methodologies
All rights reserved. You receive a limited, non-exclusive, non-transferable license to use the service.
9.2 YOUR CONTENT
You retain ownership of:
- Your store branding (logo, colors)
- Custom email templates
- Loyalty program terms and policies
- Reward descriptions and imagery
You grant us license to use this content solely to provide the service.
9.3 FEEDBACK
If you provide feedback, suggestions, or ideas, we may use them without compensation or attribution. This helps us improve the service for all users.
10. SERVICE AVAILABILITY AND MODIFICATIONS
10.1 SERVICE CHANGES
We reserve the right to:
- Modify, update, or discontinue features with 30 days' notice
- Add new features and functionality
- Change APIs and integration methods
- Improve performance and security
- Fix bugs and resolve issues
We will announce major changes via email and in-app notifications.
10.2 SCHEDULED MAINTENANCE
- Scheduled maintenance windows: Typically 2-4 AM UTC
- Advanced notice: Minimum 48 hours
- Duration: Usually under 2 hours

10.3 SERVICE INTERRUPTIONS
We strive for 99.9% uptime but cannot guarantee uninterrupted service due to:
- Force majeure events (natural disasters, war, pandemic)
- Third-party service failures (Shopify, AWS, Hetzner)
- DDoS attacks or security incidents
- Necessary emergency maintenance
Credits available for extended outages exceeding SLA.
11. THIRD-PARTY INTEGRATIONS
11.1 SHOPIFY
- Our app operates on Shopify's platform
- You must maintain a Shopify account
- We are not responsible for Shopify service issues
- Shopify's terms and policies apply
11.2 OPTIONAL INTEGRATIONS
We may integrate with:
- Klaviyo (email marketing)
- Judge.me, Yotpo, Stamped.io (reviews)
- Google Analytics (analytics)
- Custom APIs (Scale and Commerce Suite plans)
Third-party integrations:
- Are optional and merchant-configured
- Have their own terms and privacy policies
- May incur separate costs
- Are not our responsibility if they malfunction

13. WARRANTIES AND DISCLAIMERS
13.1 LIMITED WARRANTY
We warrant that the service will:
- Substantially conform to the documentation
- Function in a commercially reasonable manner
- Be provided with reasonable skill and care
13.2 DISCLAIMER
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- TITLE
- QUIET ENJOYMENT
WE DO NOT WARRANT:
- Uninterrupted or error-free service
- Complete accuracy of data or analytics
- Specific results or revenue increases
- Compatibility with all third-party services
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
14.1 EXCLUDED DAMAGES
WE ARE NOT LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data (maintain your own backups)
- Damage to reputation or goodwill
- Cost of substitute services
- Personal injury or property damage
14.2 LIABILITY CAP
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED:
- The amount you paid us in the 12 months before the claim, OR
- $500, whichever is greater
This cap applies regardless of the legal theory (contract, tort, negligence, strict liability).
14.3 EXCEPTIONS
The above limitations do not apply to:
- Our willful misconduct or gross negligence
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Violations that cannot be limited by law
15. INDEMNIFICATION
You agree to indemnify and hold harmless BeyondLoyalty, its officers, directors, employees, and agents from:
- Claims arising from your use of the service
- Your violation of these Terms
- Your violation of laws or third-party rights
- Your customer data or loyalty program
- Disputes between you and your customers
- Your negligence or willful misconduct
We will notify you of claims and allow you to defend. You will reimburse our reasonable defense costs.
16. TERMINATION
16.1 TERMINATION BY YOU
You may terminate at any time by:
- Uninstalling the app from Shopify
- Cancelling your subscription in settings
- Emailing support@beyondloyalty.app
Paid subscriptions continue until the end of the billing period (no prorated refunds except within 14-day guarantee).
16.2 TERMINATION BY US
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent activity
- You fail to pay subscription fees
- Your Shopify account is suspended
- Required by law or court order
- Your business engages in prohibited activities
We will provide 7 days' notice except for fraud or legal violations (immediate termination).
16.3 EFFECT OF TERMINATION
Upon termination:
- Your access to the service ends immediately
- Customer-facing widgets stop displaying
- Data is retained for 90 days (reinstallation window)
- After 90 days, all data is permanently deleted
- You remain liable for charges incurred before termination
- Outstanding points and rewards are your responsibility to honor
17. DISPUTE RESOLUTION
17.1 INFORMAL RESOLUTION
Before filing a claim, contact us at legal@beyondloyalty.app. We will attempt to resolve disputes informally within 30 days.
17.2 ARBITRATION AGREEMENT
If informal resolution fails, disputes will be resolved by binding arbitration instead of court, except:
- Small claims court disputes (under $10,000)
- Intellectual property disputes
- Injunctive relief requests
Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
17.3 CLASS ACTION WAIVER
YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY, NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.
17.4 GOVERNING LAW
These Terms are governed by the laws of Delaware, USA, without regard to conflict of laws principles.
18. MODIFICATIONS TO TERMS
We may update these Terms from time to time. Changes will be effective 30 days after posting.
We will notify you of material changes via:
- Email to your account
- In-app notification
- Notice on our website
Continued use after changes take effect constitutes acceptance. If you disagree, you must terminate your account.
19. GENERAL PROVISIONS
19.1 ENTIRE AGREEMENT
These Terms, our Privacy Policy, and DPA constitute the entire agreement and supersede all prior agreements.
19.2 SEVERABILITY
If any provision is found unenforceable, the remaining provisions remain in effect.
19.3 NO WAIVER
Our failure to enforce any provision does not waive our right to enforce it later.
19.4 ASSIGNMENT
You may not assign these Terms without our consent. We may assign to affiliates or in connection with a merger or acquisition.
19.5 FORCE MAJEURE
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, strikes, government actions, pandemics, internet outages).
19.6 RELATIONSHIP
You and BeyondLoyalty are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
19.7 NOTICES
Notices to you will be sent to the email address associated with your account. Notices to us should be sent to:

19.8 SURVIVAL
Provisions that by their nature should survive termination will survive (including: indemnification, limitation of liability, intellectual property, dispute resolution).

21. SHOPIFY APP STORE TERMS
By installing via Shopify App Store, you also agree to:
In case of conflict, Shopify's terms take precedence for matters relating to the Shopify platform.
22. EXPORT COMPLIANCE
You may not use the service if:
- You are in a country subject to US embargo (Cuba, Iran, North Korea, Syria, Crimea)
- You are on the US Treasury's Specially Designated Nationals List
- You are on the US Commerce Department's Denied Persons List
You agree to comply with all export control laws.
23. ACCESSIBILITY
We strive to make our service accessible to users with disabilities in compliance with WCAG 2.1 Level AA standards. If you encounter accessibility barriers, please contact accessibility@beyondloyalty.app.
24. LANGUAGE
These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
MERCHANT RESPONSIBILITIES SUMMARY
As a merchant using BeyondLoyalty, you are responsible for:
